These Terms of Use ("Terms") constitute a legally binding agreement between you and Novadrive Car Rentals Ltd. (operating as "Novadrive," "we," "us," or "our," and sometimes referred to as the "Platform Provider"), governing your access to and use of our websites, including www.inovadrive.com and www.inovadrive.ca, and all associated services, applications, and features (collectively, the "Platform" or "Service"). Novadrive operates an online peer-to-peer car sharing marketplace connecting private vehicle owners ("Hosts") with individuals seeking to rent vehicles ("Renters").

By accessing, browsing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the mandatory insurance provisions and Host Indemnity clause, to the extent permitted by applicable law. If you do not agree to these Terms, you may not access or use the Platform.

1. Insurance, Liability, and Host Indemnity (CRITICAL SECTION)

1.1 Host Insurance Requirements and Mandatory Undertaking

Novadrive Car Rentals Ltd. DOES NOT provide primary third-party liability, collision, or comprehensive insurance coverage for vehicles listed on the Platform. Hosts are responsible for ensuring that their vehicles have the insurance coverage and vehicle-use classification required for peer-to-peer vehicle sharing.

Host's Exclusive Responsibility:

As a Host, you are responsible for ensuring your vehicle is legally and properly insured for the intended peer-to-peer vehicle sharing use in British Columbia before you list the vehicle or make it available through iNovaDrive.

Mandatory ICBC/Broker Compliance:

You must contact your Autoplan broker or other applicable insurance provider and accurately disclose that the vehicle will be used for peer-to-peer vehicle rental or sharing through iNovaDrive.

You must obtain and maintain the rate class, insurance coverage, endorsements and other insurance arrangements required by ICBC, your insurer, your broker and applicable law for the intended peer-to-peer use.

Depending on the vehicle, coverage and insurance arrangement, this may include appropriate peer-to-peer vehicle rental coverage or an applicable Peer-to-Peer Rental Vehicle Use Endorsement and any other coverage required or recommended by the insurer.

Platform eligibility requirement: A Host may not list or make a vehicle available through iNovaDrive unless the Host has confirmed with the applicable insurer or broker that the vehicle is properly insured and eligible for the intended peer-to-peer use.

Documentation and Proof:

You must maintain valid insurance and any required documentation throughout your participation as a Host. iNovaDrive may request evidence of insurance, registration, applicable rate classification, endorsements or other eligibility documentation where reasonably necessary.

Breach and Consequence:

Failure to maintain the insurance and vehicle-use arrangements required for peer-to-peer vehicle sharing is a material breach of these Terms. iNovaDrive may suspend or remove the affected vehicle or Host account until the Host provides satisfactory evidence of compliance.

A Host should understand that improper insurance, incorrect vehicle-use classification or failure to disclose peer-to-peer use to the applicable insurer may create serious financial and coverage consequences. Hosts are responsible for confirming their own coverage directly with their insurer or broker.

1.2 Host Indemnity and Release of Claims Against Novadrive

To the extent permitted by applicable law, you, as the Host, agree to indemnify, defend and hold harmless Novadrive Car Rentals Ltd., its directors, officers, employees and agents from claims, liabilities, damages, losses and expenses arising from your vehicle, your conduct, your failure to maintain required insurance, or your participation as a Host on the Platform.

  • Insurance as Primary Risk Management: Hosts are responsible for maintaining the insurance required for their vehicle and intended peer-to-peer use. Insurance claims are subject to the applicable insurance policy, endorsements, insurer requirements and law.
  • Host Responsibility: The Host remains responsible for the vehicle, its condition, its legal eligibility and compliance with applicable insurance requirements.
  • Platform's Cooperation: Where reasonably necessary and lawful, iNovaDrive may provide relevant booking, identity and transaction information to an insurer, broker, claims professional, law-enforcement agency or other authorized party for an investigation or claim.
  • Legal Limitations: Nothing in this section is intended to waive, exclude or limit any right, liability or protection that cannot lawfully be waived, excluded or limited under applicable law.

1.3 Renter's Financial Responsibility

The Renter is responsible for legitimate costs arising from the Renter's own conduct, misuse, prohibited use, unauthorized driving, damage, cleaning, tickets, tolls or other charges attributable to the Renter, subject to applicable booking terms, insurance arrangements and law.

The Renter must possess a valid driver's licence and satisfy iNovaDrive's applicable verification and approval requirements before operating a vehicle.

iNovaDrive does not require a separate security deposit as part of its standard booking process.

Nothing in these Terms changes the coverage, exclusions, deductibles or responsibilities established by the applicable insurance policy or by law.

2. Detailed Roles and Responsibilities

2.1 Host Responsibilities (Detailed)

Hosts are responsible for all aspects of their listing and vehicle management and must comply with applicable laws, insurance requirements and iNovaDrive standards.

Vehicle Eligibility & Maintenance:

  • The vehicle must be legally registered and properly insured for its intended peer-to-peer use in British Columbia.
  • The vehicle must be mechanically sound, reasonably safe and roadworthy and must comply with applicable legal requirements.
  • The Host must perform required maintenance, including maintenance recommended by the manufacturer and applicable safety requirements.
  • The Host must address applicable recalls, mechanical problems and safety concerns before making the vehicle available.

Listing and Pricing:

  • All listing descriptions, mileage, features, condition information and availability must be accurate and current.
  • Hosts set their own prices subject to any pricing, fee or platform rules disclosed by iNovaDrive.
  • Hosts must clearly disclose material vehicle rules and restrictions, including mileage limits, smoking restrictions, pet restrictions and other material conditions.

Pre- and Post-Trip Documentation:

  • Hosts should document the vehicle's condition, including fuel or charge level, odometer reading and pre-existing damage, before and after the booking where the Platform provides or requires such functionality.
  • Hosts should preserve photographs and other relevant evidence where reasonably necessary for an incident, damage claim or dispute.

Handover and Pickup:

  • The Host must make the vehicle available at the agreed time and location subject to the booking terms.
  • The Host must follow applicable iNovaDrive procedures for confirming the Renter's identity and eligibility at handover.

2.2 Renter Responsibilities (Detailed)

Renters are responsible for using vehicles safely, lawfully and in accordance with the applicable booking terms.

Eligibility and Verification:

  • Renters must satisfy the minimum age and other eligibility requirements applicable to the booking.
  • Renters must possess a valid driver's licence recognized for the intended vehicle use.
  • Renters must provide valid driver's licence information and government-issued identification for identity and eligibility verification.
  • iNovaDrive may require photographs of driver's licence and government-issued identification before approving a booking.
  • iNovaDrive's standard verification process does not include an ICBC driver abstract or driving-record check unless a separate service or requirement expressly states otherwise.

Vehicle Operation and Care:

The Renter must operate the vehicle in a safe, courteous and lawful manner and comply with applicable traffic laws.

Prohibited Uses: The vehicle must not be used for:

  • Illegal purposes.
  • Racing, speed contests or high-risk activities.
  • Towing other vehicles or trailers without applicable authorization.
  • Commercial purposes unless the applicable Host, iNovaDrive and insurance arrangements expressly permit that use.
  • Driving while impaired by alcohol, cannabis or controlled substances.
  • Any other use prohibited by applicable law, booking terms or insurance requirements.

Authorized Drivers:

Only the Renter and other drivers who have been properly authorized and verified for the booking may operate the vehicle.

Return of Vehicle:

  • The Renter must return the vehicle on time and to the agreed location, subject to applicable booking instructions.
  • The Renter must return the vehicle in accordance with the agreed fuel or charge requirements.
  • The Renter remains responsible for damage or excessive cleaning attributable to the Renter, subject to the applicable booking terms, evidence, insurance arrangements and applicable law.

3. Account Registration and User Conduct

3.1 Account Security and Accuracy

  • You must provide accurate, current and complete information during registration and keep your account details updated.
  • You are responsible for activity carried out through your account, subject to applicable law.

3.2 No Harassment and Safety Policy

Novadrive expects all users to communicate respectfully and prohibits harassment, intimidation, threats, discrimination, abuse, stalking and misuse of personal information.

Users should report serious safety concerns, threats or misconduct to iNovaDrive and, where appropriate, the relevant authorities.

4. Payment Processing and Fees

4.1 Stripe Integration

Payments, payment authorizations, captures, refunds, Host payouts and other applicable payment processing are handled through third-party payment processors, including Stripe, where applicable.

  • Payment Services: Users using iNovaDrive payment functionality are subject to the applicable payment-provider terms and requirements.
  • Fee Structure: iNovaDrive may charge service fees and other disclosed charges for facilitating transactions. Applicable charges will be presented where required before a transaction is completed.
  • Payment Authorization: Depending on the booking flow, a payment method may be authorized for the applicable booking amount before or at booking confirmation.
  • Final Capture: Where the payment flow uses authorization followed by capture, the authorized amount may be captured in accordance with the applicable booking terms and legitimate additional charges.
  • No Security Deposit: iNovaDrive does not require a separate security deposit as part of its standard booking process.
  • Host Payouts: Host payouts are processed through the applicable payment provider and are subject to payment, verification, dispute, refund and payout requirements.

4.2 Fines, Penalties, and Tolls

  • Renter Responsibility: The Renter is responsible for parking tickets, traffic violations, toll charges, photo-radar fines, impound fees and other legally attributable charges incurred during the booking.
  • Administrative Fee: Where permitted by law and disclosed by the applicable booking terms, iNovaDrive may charge an administrative fee for reasonable processing associated with such charges.

5. Accidents, Damage, and Claims Procedure

5.1 Immediate Reporting

In the event of an accident, theft, damage, mechanical issue or other significant incident, the Host and Renter should take reasonable steps to protect people, comply with applicable law and preserve relevant information.

  1. Ensure the immediate safety of all persons.
  2. Contact emergency services where necessary.
  3. Contact police where required or appropriate.
  4. Notify the applicable insurer or other required claims contact in accordance with the applicable insurance policy.
  5. Notify iNovaDrive through the designated reporting or support process.

5.2 Claims Process

  • Damage Assessment: iNovaDrive may review booking information, photographs, communications, condition records and other relevant evidence.
  • Host's Role: The Host must cooperate with the applicable insurer and claims process and comply with the Host's insurance policy and broker/insurer requirements.
  • Renter's Role: The Renter must provide truthful information and cooperate with applicable insurance, claims and investigation processes.
  • Novadrive's Role: iNovaDrive may facilitate communication and provide relevant information where reasonably necessary and legally permitted. iNovaDrive does not replace an insurer, claims adjuster or legal authority.

6. Data Collection and Privacy

6.1 Consent to Data Use

You understand and consent to the collection, use and disclosure of personal information in accordance with the iNovaDrive Privacy Policy and applicable law.

  • Google Analytics: Where enabled, we may use analytics tools to understand website traffic, usage patterns and platform performance.
  • Microsoft Clarity: Where enabled, we may use user-experience analytics to understand navigation, diagnose problems and improve the Platform.
  • Telematics: Where a vehicle has applicable telematics or tracking technology, required disclosures must be provided in accordance with the Privacy Policy, booking terms and applicable law.

6.2 Information Sharing

iNovaDrive may disclose information in accordance with its Privacy Policy and applicable law, including where reasonably necessary for payment processing, insurance claims, fraud prevention, safety, dispute resolution or lawful requests.

7. Platform Safety, Security, and Termination

7.1 Safety and Security

Novadrive takes reasonable steps to secure the Platform, but cannot guarantee that the Platform will always be uninterrupted, error-free, secure or free of harmful components.

7.2 Suspension and Termination by Novadrive

Novadrive may suspend, restrict or terminate access to an account, vehicle, listing or Platform feature where reasonably necessary because of:

  • Breach of insurance or vehicle eligibility requirements.
  • False or misleading information.
  • Fraud or suspected fraud.
  • Safety concerns.
  • Harassment, threats or serious misconduct.
  • Repeated violations of Platform policies.
  • Conduct that materially threatens the Platform or community.

7.3 Account Termination by You

You may request account termination through available Platform functionality or by contacting customersupport@inovadrive.com.

Account termination does not necessarily erase records immediately where retention is reasonably necessary or legally required for active bookings, outstanding financial obligations, insurance matters, disputes, fraud prevention, tax, accounting or other lawful purposes.

Any provisions that by their nature should survive termination may continue to apply to the extent permitted by applicable law.

8. Disclaimer of Warranties

The Platform and its content, materials and services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. Novadrive does not warrant that the Platform will be uninterrupted, error-free or completely secure.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Novadrive Car Rentals Ltd. will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising from use of the Platform or participation in transactions facilitated through the Platform.

Nothing in these Terms excludes or limits liability, rights or remedies that cannot lawfully be excluded or limited under applicable law.

Subject to applicable law, Novadrive's total liability arising from or related to these Terms or the use of the Platform is limited to the greater of (a) the service fees paid by the user to Novadrive during the six (6) months preceding the event giving rise to the claim, or (b) fifty Canadian dollars ($50 CAD).

10. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, except where mandatory applicable law provides otherwise.

11. Dispute Resolution

11.1 Informal Resolution

We encourage users to contact Novadrive first so that questions, complaints or disputes can be reviewed and, where appropriate, resolved directly.

11.2 Legal Rights

Nothing in these Terms requires a consumer to waive a legal right or remedy that cannot lawfully be waived or restricted.

Where a dispute cannot be resolved informally, the parties may use any court, tribunal, regulatory process or other dispute-resolution method available under applicable law.

Nothing in these Terms requires a consumer to submit a dispute to mandatory arbitration or another mandatory dispute-resolution process where applicable law prohibits such a requirement.

After a dispute arises, the parties may voluntarily agree to mediation, arbitration or another dispute-resolution process where permitted by law.

12. Miscellaneous Provisions

  • Entire Agreement: These Terms, together with applicable booking terms and incorporated policies, constitute the agreement governing use of the Platform.
  • Assignment: You may not assign or transfer these Terms without Novadrive's prior written consent, except where otherwise permitted by applicable law.
  • Notices: Notices to Novadrive may be sent to the contact information listed on the Platform.
  • Severability: If a provision is found invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

13. Modifications

Novadrive may update these Terms from time to time to reflect changes in its services, Platform operations, legal requirements or policies.

Where required or appropriate, material changes may be communicated through the Platform, by email or by another reasonable method.

The "Last Updated" date identifies the version currently published. Changes apply as permitted by applicable law, and the version applicable to a particular transaction may depend on when the applicable agreement was entered into or renewed.
